Preparation of Legal Due Diligence

Preparation of the LDD entails defining the following parameters first of all:

  • Data room rules
  • Non-disclosure agreements
  • Agreement between buyer and vendor on the scope of the audit
    • Data room index by the vendor
      • Documentation / self-assessment by the vendor
      • Selection of documents for the Buyer LDD or
    • Presentation of a checklist by the buyer, depending on the property that is purchased

      • Share deal option
